1. Acceptance of Terms
By accessing or using the engage insights platform and website (the “Service”), operated by Azla Managers LLC, you agree to be bound by these Terms of Service. If you are entering into these Terms on behalf of an organisation, you represent that you have authority to bind that organisation. If you do not agree, do not use the Service.
2. Description of Service
engage insights provides a stewardship and stakeholder-engagement analytics platform that helps investment, stewardship, and investor-relations teams track, analyse, and report on their engagement, proxy-voting, and regulatory activities. We may modify, add, or discontinue features from time to time.
3. User Accounts
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must provide accurate information, keep it up to date, and notify us immediately of any unauthorised use or security breach.
4. Acceptable Use
You agree not to:
- Use the Service for any unlawful, harmful, or fraudulent purpose
- Attempt to gain unauthorised access to any part of the Service, other accounts, or connected systems
- Interfere with or disrupt the integrity, security, or performance of the Service
- Reverse engineer, decompile, or disassemble any part of the Service, except as permitted by law
- Upload malicious code, or content that infringes the rights of others
- Resell, sublicense, or provide the Service to third parties except as expressly permitted
5. Intellectual Property
All content, features, and functionality of the Service are owned by Azla Managers LLC or its licensors and are protected by intellectual-property laws. “engage insights” and related marks are trademarks of Azla Managers LLC. These Terms grant you a limited, non-exclusive, non-transferable right to use the Service; no other rights are granted by implication.
6. Customer Data & Ownership
You retain ownership of all data you upload to the Service (“Customer Data”). We do not claim ownership of your Customer Data and we do not use it to train AI models. We process Customer Data solely to provide and improve the Service as described in our Privacy Policy and Data Processing Agreement.
7. Subscription & Billing
Paid plans are billed according to the pricing and terms agreed at the time of subscription. Unless otherwise stated, fees are non-refundable, and we may modify pricing with at least 30 days’ notice for future billing periods.
8. Third-Party Services
The Service may integrate with or link to third-party products and services. We are not responsible for third-party content or practices, and your use of them is governed by their own terms.
9. Disclaimers
The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or completely secure. Analytics, insights, and recommendations provided by the Service are informational and do not constitute legal, financial, or investment advice.
10. Limitation of Liability
To the maximum extent permitted by law, Azla Managers LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or relating to your use of the Service. Our total aggregate liability for any claim relating to the Service shall not exceed the amounts you paid to us for the Service in the twelve months preceding the claim.
11. Termination
We may suspend or terminate your access to the Service at any time for violation of these Terms or to protect the Service. Upon termination, your right to use the Service ceases immediately. You may export your Customer Data within 30 days of termination, after which we may delete it in accordance with our retention practices.
12. Governing Law
These Terms are governed by the laws of the State of Florida, USA, without regard to its conflict-of-law provisions. Any disputes arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the state and federal courts located in Florida, USA.
13. Changes to These Terms
We may update these Terms from time to time. We will post the revised Terms on this page with an updated “Last updated” date, and material changes will take effect as described in the notice. Your continued use of the Service after changes take effect constitutes acceptance.
